Infovide-Matrix SA acquires 53.26% of shares in the share capital of CTPartners company. The value of the transaction concluded by the parties on November 27th this year amounts to PLN 3 million. The agreement also assumes an additional payment up to the amount of the net profit earned by CTPartners in 2007, if the profit exceeds PLN 600,000. The final share purchase agreement will be signed after suspension conditions are met. The remaining 46.74% of shares may be purchased by Infovide-Matrix during the period between 2010 and 2011.

The Infovide-Matrix Capital Group is now being joined by the leader on the Polish IT organization management consultancy services and ITIL® training services market. This is an important segment of the market with great future potential, with help of CTPartners’ unique competences we will be able to develop service portfolio of the whole Group. The business model pursued by our partner perfectly complements the Infovide-Matrix strategy focused on Consulting & Solutions Implementation.

“This agreement will allow us to reinforce our leading position on the market in this sector” says Mr. Marek Kobialka, the President of Infovide-Matrix Management Board. “The acquisition of CTPartners will be financed with funds that have been obtained from public issue of shares, earned us PLN 32.5 million. By finalizing the transaction by the end of 2007, we will remain compliant the timetable we have committed to for our investors” – adds Mr. Kobialka.

CTPartners is an IT consulting company and an independent expert in the area of IT services management training with credentials of ITIL® (Information Technology Infrastructure Library). The company is the leader on the Polish ITIL® training and consultancy services market.

In 2006 more than 50% of ITIL®’s Polish certificates have been issued by CTPartners. CTPartners activities include also consultancy services for IT companies in the area of IT management, which are performed according to proprietary methodology based on international standards. Additionally the company has been involved in organization of conferences and seminars, management of a web portal and publishing of ITIL® – related publications and cooperation with partners in the area of employee outsourcing for its projects. The key source of CTPartners’ value is its intellectual capital, which is made up of a team of experienced staff with outstanding expertise proven by numerous certificates, authorizations, accreditations, which in some cases are unique on the Polish market, as well as company’s established market position resulting from its pioneering role on the ITSM market, proprietary training material and a wide range of activities aimed at market education (conferences, portals, publications).

Forecasted CTPartners’ revenue will reach the amount of PLN 5.8 mln and net profit PLN 0.61 mln in 2007. Currently 100% of company shares are owned by Mr. Bartosz Gorczynski, who is also the President of CTPartners Management Board.
